Terms of Service

1. Acceptance of Terms

By using the services ("Service") provided by Apex Agent Systems ("we," "us," or "our"), you ("the Client") agree to be bound by these Terms of Service (ToS). These terms apply to all users of our Service.

2. Description of Service

We provide AI Voice Agent subscriptions designed to automate business communications, including but not limited to answering calls, qualifying leads, and booking appointments. The specific features are determined by the subscription tier purchased by the Client.

3. Fair Use Policy

Our flat-rate subscription plans are designed for standard business operations. The service is not intended for high-volume, automated activities that fall outside of typical client-to-business interactions.

Prohibited uses under this policy include, but are not limited to: high-volume, outbound auto-dialing or telemarketing campaigns; continuous, 24/7 call forwarding for non-operational purposes; or any usage that consistently and significantly exceeds the average call volume of a similarly situated business under the same plan.

We reserve the right to monitor usage. If a Client's usage is determined to be in violation of this Fair Use Policy, we will contact the Client to discuss the situation. This may require the Client to upgrade to a custom enterprise plan with usage-based pricing.

4. Payments and Billing

All services are billed on a monthly recurring basis. Payments are processed automatically via Stripe. The Client agrees to keep a valid payment method on file. Applicable taxes will be calculated and added to each invoice.

5. Cancellation and Termination

The Client may cancel their subscription with 30 days' written notice. The service will remain active through the end of the final 30-day billing period. We reserve the right to suspend or terminate service immediately if the Client is in breach of these terms, including the Fair Use Policy.

6. Limitation of Liability

To the maximum extent permitted by law, the total liability of Apex Agent Systems for any claim arising out of our Service or these Terms will not exceed the total fees paid by the Client to us in the three (3) months prior to the claim. We will not be liable for any lost profits or any indirect, special, or consequential damages. The Service is provided "as-is," and we disclaim all warranties.

7. Governing Law

These Terms of Service shall be governed by the laws of Missouri, USA, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by email or through our website. Continued use of the Service after such changes constitutes acceptance of the new terms.
